1. Introduction

These Terms and Conditions ("Agreement") constitute a legally binding contract between you (“Client”, “you”, or “your”) and Gofillip, a unit of Wentrite Technologies Private Limited (“Developer”, “we”, “us”, or “our”), governing your engagement of our software development, web and app development, design, and/or related services (collectively, the “Services”).

By accessing, purchasing, or using any part of our Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree with these Terms, you must refrain from using our Services.

2. Definitions

  • Client: The individual or entity receiving Services from Gofillip.
  • Developer: Gofillip, a unit of Wentrite Technologies Private Limited.
  • Project: The agreed scope of work as defined in the mutually accepted Statement of Work (SOW), Proposal, or Quote.
  • SOW (Statement of Work): A written document describing the scope, deliverables, timelines, and cost structure of a particular Project.

3. Client Responsibilities

  1. The Client shall provide complete, accurate, and timely information, feedback, and approvals necessary to fulfill the Project.
  2. The Client must designate a single point of contact responsible for communicating approvals, content, and feedback.
  3. The Client affirms that all materials supplied (text, images, trademarks, etc.) do not violate any intellectual property laws.

4. Payment Terms

  1. The Client agrees to pay all fees as per the payment schedule and milestone structure defined in the SOW.
  2. A minimum advance payment (as agreed upon in the SOW) is required before project initiation.
  3. Delayed payments may result in work stoppage or cancellation of the Project.
  4. All payments shall be non-refundable unless otherwise agreed in writing.

5. Revisions & Change Requests

  1. Revisions are limited to the scope defined in the SOW. Additional revisions or out-of-scope changes shall be billed separately and require written consent.
  2. All change requests must be submitted in writing and approved prior to execution.

6. Project Timeline

  1. Project timelines are estimates and depend on the scope and timely cooperation by the Client.
  2. Delays caused by the Client, including failure to provide content, feedback, or approvals, may result in rescheduling and/or reactivation charges.
  3. Projects idle for over 30 working days may be archived, and reactivation may incur a separate fee.

7. Intellectual Property Rights

  1. Upon full and final payment, the Client shall own the rights to the final approved deliverables.
  2. All third-party components, plugins, or media used in the Project shall be properly licensed by the Developer.
  3. The Client indemnifies the Developer from any liability arising from unlicensed or infringing content provided by the Client.

8. Confidentiality & Data Protection

  1. Both parties agree to treat all confidential information exchanged as strictly confidential and not disclose it to third parties without prior written consent.
  2. If the Project value exceeds ₹50,000, a formal Non-Disclosure Agreement (NDA) may be executed for an additional documentation fee of ₹5,000.

9. Limited Warranty & Disclaimers

  1. The Services are provided "as is" without any express or implied warranty.
  2. The Developer does not guarantee that deliverables will be error-free or uninterrupted.
  3. Our liability, under any circumstances, is limited to the amount actually paid by the Client for the specific Project.
  4. The Developer shall not be liable for indirect, incidental, consequential, or punitive damages.

10. Indemnity

The Client agrees to indemnify, defend, and hold harmless the Developer, its affiliates, and personnel from any claims, losses, damages, or liabilities arising from:

  • Client's breach of these Terms
  • Any unauthorized or illegal use of the Services
  • Content provided by the Client

11. Termination

  1. Either party may terminate this Agreement with written notice.
  2. Termination by the Client does not entitle the Client to any refund of advance payments unless explicitly provided in a separate refund policy.
  3. The Developer reserves the right to terminate the Agreement if the Client fails to comply with payment obligations or delays critical deliverables.

12. Testing & Quality Assurance

  1. We conduct internal QA and bug testing prior to delivery.
  2. The Client is responsible for conducting final testing prior to launch.
  3. Device and platform testing will be performed in accordance with the agreed scope.

13. Post-Launch Support & Maintenance

  1. The Developer provides one month of free post-launch support for bug fixes.
  2. Extended support and Annual Maintenance Contracts (AMCs) are available upon request.
  3. Support requests can be sent to enquiry@gofillip.in during working hours (Monday–Saturday, 9:30 AM to 6:30 PM IST).

14. Training & Access

  1. Clients will receive access to basic training materials and videos.
  2. Advanced or customized training may be provided for an additional fee.

15. Razorpay Payment Gateway

  1. Gofillip uses Razorpay as its official payment processing partner.
  2. All payments, refunds, chargebacks, and dispute resolution mechanisms are governed by Razorpay’s Terms of Use and Privacy Policy .
  3. By making payment through Razorpay, the Client agrees to be bound by Razorpay's applicable policies.

16. Prohibited Use

  1. The Client shall not use the Services for unlawful, fraudulent, defamatory, or harmful activities.
  2. The Developer reserves the right to suspend or terminate services and report such activities to legal authorities if found in violation.

17. Dispute Resolution

  1. This Agreement shall be governed by the laws of the Republic of India.
  2. All disputes shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu.
  3. Parties agree to attempt mediation and/or arbitration before initiating formal legal proceedings.

18. Force Majeure

The Developer shall not be held liable for delays or non-performance resulting from events beyond its reasonable control, including but not limited to natural disasters, strikes, technical failures, or governmental actions.

19. Non-Solicitation

The Client agrees not to solicit, hire, or engage, directly or indirectly, any employee or contractor of the Developer during the Project and for 12 months following completion. Violation of this clause may result in legal action and claims for damages.

20. Acceptance of Terms

By making payment or otherwise confirming engagement in writing or by email, the Client acknowledges full understanding and acceptance of these Terms and Conditions and agrees to be legally bound by them.
